Thank you for using iKnolio! By using iKnolio Service, you agree to the following terms and conditions, and any policies, guidelines or amendments thereto that may be presented to you from time to time (collectively, the “Terms of Service”). We may update the Terms of Service in the future, and you will be able to find the most current version of this agreement at http://iknolio.com/info/tos

By using the iKnolio.com web site, you are agreeing to be bound by the following terms and conditions (“Terms of Use”).

Basic Terms

1. You must be 13 years and older to use this site.
2. You are responsible for any activity that occurs under your screen name.
3. You are responsible for keeping your password secure.
4. You must not abuse, harass, threaten, impersonate or intimidate other iKnolio users.
5. You may not use the iKnolio.com service for any illegal or unauthorized purpose. International users agree to comply with all local laws regarding online conduct and acceptable content.
6. You are solely responsible for your conduct and any data, text, information, screen names, graphics, photos, profiles, audio and video clips, links (�Content�)that you submit, post, and display on the iKnolio.com service.
7. You must not modify, adapt or hack iKnolio.com or modify another website so as to falsely imply that it is associated with iKnolio.com.
8. You must not create or submit unwanted email to any iKnolio members (�Spam�).
9. You must not transmit any worms or viruses or any code of a destructive nature.
10. You must not, in the use of iKnolio, violate any laws in your jurisdiction (including but not limited to copyright laws).

Violation of any of these agreements will result in the termination of your iKnolo.com account. While iKnolio.com prohibits such conduct and content on its site, you understand and agree that iKnolio cannot be responsible for the Content posted on its web site and you nonetheless may be exposed to such materials and that you use the iKnolio.com service at your own risk.

GENERAL CONDITIONS

• We reserve the right to modify or terminate the iKnolio.com service for any reason, without notice at any time.
• We reserve the right to alter these Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, we will notify you via internet mail. What constitutes a “material change” will be determined at our sole discretion, in good faith and using common sense and reasonable judgement.
• We reserve the right to refuse service to anyone for any reason at any time.
• We may, but have no obligation to, remove Content and accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Use.

COPYRIGHT

iKnolio’s Rights

You acknowledge and agree that iKnolio services (“Software”) and any necessary software used in connection with iKnolio service contain proprietary and confidential information that is protected by applicable intellectual property and other laws and treaties. You further acknowledge and agree that Content contained in sponsor advertisements or presented to you through iKnolio services is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by iKnolio or other proper third party rights holders, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on iKnolio services, Content or Software, in whole or in part.

Subject to the Terms of Service, iKnolio grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Software; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software, unless such activity is expressly permitted or required by law. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to iKnolio services. You agree not to access iKnolio services by any means other than through the interface that is provided by iKnolio for use in accessing iKnolio services.

Your Rights

iKnolio claims no ownership or control over any Content submitted, posted or displayed by you on or through iKnolio services. You or a third party licensor, as appropriate, retain all patent, trademark and copyright to any Content you submit, post or display on or through iKnolio services and you are responsible for protecting those rights, as appropriate. By submitting, posting or displaying Content on or through iKnolio services which are intended to be available to the general public, you grant iKnolio a worldwide, non-exclusive, royalty-free license to reproduce, adapt and publish such Content on iKnolio services solely for the purpose of displaying, distributing and promoting iKnolio services. This license terminates when such Content is removed from the iKnolio service to which you originally submitted. iKnolio reserves the right to syndicate Content submitted, posted or displayed by you on or through iKnolio services and use that Content in connection with any of the services offered by iKnolio. iKnolio furthermore reserves the right to refuse to accept, post, display or transmit any Content in its sole discretion.

USER-POSTED CONTENT AND RESPONSIBILITY

By posting content, you are granting permission to us and others to access and use it in connection with the Services, the Site and otherwise in connection with our business. You can mark content as private to restrict access and use to those users to whom you explicitly grant access. iKnolio is explicitly not responsible for the manner or circumstances by which third parties access or use public content and is under no obligation to disable or otherwise restrict this access. iKnolio provides you with the ability to retrieve and remove your posted content and your personal information from the Site and the Services. This ability does not extend to copies that others may have made or to copies that we may have made for backup purposes.

You are solely responsible for your use of the Site and Services. Because iKnolio merely serves as a repository of information, user-posted content does not represent the advice, views, opinions or beliefs of iKnolio, and iKnolio makes no claim of accuracy of any user-posted material. In accessing the Site and Services or following links to third-party websites you may be exposed to content that you consider offensive or inappropriate. You agree that your only recourse is to stop using the Site and Services.

DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

1. YOUR USE OF IKNOLIO SERVICES IS AT YOUR SOLE RISK. IKNOLIO SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IKNOLIO EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
2. IKNOLIO DOES NOT WARRANT THAT
   1. IKNOLIO SERVICES WILL MEET YOUR REQUIREMENTS,
   2. IKNOLIO SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE,
   3. THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF IKNOLIO SERVICES WILL BE ACCURATE OR RELIABLE,
   4. THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH IKNOLIO SERVICES WILL MEET YOUR EXPECTATIONS, AND
   5. ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
3. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF IKNOLIO SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
4. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM IKNOLIO TEAM OR THROUGH OR FROM IKNOLIO SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS OF SERVICE.

LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT IKNOLIO SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF IKNOLIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM:

1. THE USE OR THE INABILITY TO USE IKNOLIO SERVICES;
2. THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM IKNOLIO SERVICES;
3. UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
4. STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON IKNOLIO SERVICES; OR
5. ANY OTHER MATTER RELATING TO IKNOLIO SERVICES.

EXCLUSIONS AND LIMITATIONS

NOTHING IN THIS AGREEMENT IS INTENDED TO EXCLUDE OR LIMIT ANY CONDITION, WARRANTY, RIGHT OR LIABILITY WHICH MAY NOT BE LAWFULLY EXCLUDED OR LIMITED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR CONDITIONS OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR LOSS OR DAMAGE CAUSED BY NEGLIGENCE, BREACH OF CONTRACT OR BREACH OF IMPLIED TERMS, OR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, ONLY THE ABOVE LIMITATIONS IN LAST TWO SECTIONS WHICH ARE LAWFUL IN YOUR JURISDICTION WILL APPLY TO YOU AND OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
